Terms of Service

These Terms of Service (the “Terms”) are an agreement between you and SILICADRIVE PTE. LTD., a Singapore private company limited by shares with UEN 202628389C and registered office at 163 Kallang Way, #04-18, Mapletree Hi-Tech Park @ Kallang Way, Singapore 349256 (“Matilly,” “we,” “us,” or “our”). Matilly is a product and service operated by SILICADRIVE PTE. LTD. These Terms govern your access to and use of matilly.com, associated applications, APIs, and Matilly's chat, image, video, file, voice, coding and related artificial-intelligence features (collectively, the “Services”).

By creating an account, buying a subscription, or using the Services, you agree to these Terms. If you use the Services for an organisation, you confirm that you have authority to bind that organisation; in that case, “you” includes the organisation.

1. Eligibility and accounts

You must be at least 13 years old or the minimum age required in your country to consent to use the Services. If you are under 18, you may use the Services only with permission from a parent or legal guardian, who must review these Terms with you. You must also be legally able to enter into this agreement.

You must provide accurate account information, keep it current, protect your login credentials and promptly notify [email protected] of suspected unauthorised access. You are responsible for activity under your account unless caused by Matilly's breach of duty. You may not share, sell or transfer an account except through a feature we expressly provide.

Google or another identity provider may be used to sign in. Your use of that provider remains subject to its own terms and privacy policy.

2. The Services

Matilly provides generative and assistive AI capabilities. Features, models, limits and availability may differ by plan, location and device. We may improve, add, replace or discontinue features. If a change materially reduces a prepaid core feature, we will provide notice or another remedy where required by law.

The Services may:

• generate text, code, images, audio or video;
• analyse prompts, documents, images and other files;
• retrieve information from connected services or public sources;
• use tools or take actions when you expressly enable them; and
• display intermediate status information, sources or work summaries.

Intermediate status, source labels and work summaries are operational information, not a complete record of a model's internal reasoning. Matilly may omit or simplify such information for safety, security, privacy or reliability.

3. AI limitations and your responsibility

AI output may be inaccurate, incomplete, outdated, offensive or non-unique. It may incorrectly describe people, events, laws, prices, sources or technical facts. You must independently review output before relying on or sharing it.

The Services are not a substitute for qualified professional advice. Do not rely on them as the sole basis for medical, legal, financial, employment, safety-critical or other high-impact decisions. Where a decision affects another person's rights or access to essential services, use meaningful human review and comply with applicable law.

Code and tool-generated actions may cause loss, outages, security issues or unintended changes. Review proposed changes, use test environments and maintain backups. You are responsible for deciding whether to run, deploy or publish output.

4. Your content

“User Content” means prompts, instructions, files, images, audio, video, code, feedback and other material you submit, plus output generated for you.

As between you and Matilly, you retain ownership of your inputs and, to the extent permitted by law, own the output generated for you. You grant Matilly a limited, worldwide, non-exclusive licence to host, copy, transmit, transform and otherwise process User Content only as reasonably necessary to:

• provide and secure the Services;
• follow your instructions;
• prevent abuse and enforce these Terms;
• provide support; and
• meet legal obligations.

Matilly does not use private prompts, private files or private outputs to train general-purpose AI models unless you separately and expressly opt in. This does not prevent processing required to provide and secure the Services, or use of feedback and aggregated or de-identified operational information that cannot reasonably identify you.

You confirm that you have all rights and permissions necessary to submit User Content and instruct us to process it. Do not submit confidential, sensitive or third-party personal information unless you are authorised to do so and the Services are appropriate for that information.

Output may resemble material generated for others because AI systems can produce similar results from similar prompts. Matilly does not guarantee that output is unique, registrable, non-infringing or eligible for intellectual-property protection.

5. Acceptable use

You must not use the Services to:

• violate law, regulation, sanctions or another person's rights;
• exploit, endanger or sexualise a child;
• create or distribute non-consensual intimate imagery or sexual deepfakes;
• stalk, threaten, harass, defame or unlawfully discriminate;
• facilitate violence, terrorism, human trafficking or serious wrongdoing;
• create malware, evade security controls, gain unauthorised access or disrupt systems;
• impersonate a person or misrepresent AI output as an authentic human record where that would deceive or harm;
• commit fraud, phishing, spam, market manipulation or deceptive commercial practices;
• infringe privacy, copyright, trademark, publicity or other rights;
• make prohibited automated high-impact decisions without lawful safeguards and human review;
• extract models, system prompts, credentials or non-public data, or circumvent usage limits and safety controls;
• benchmark or scrape the Services in a manner that overloads, damages or competes unlawfully with them; or
• help another person do any of the above.

We may investigate suspected misuse, restrict relevant features, preserve evidence and report conduct where required or permitted by law.

6. Third-party services and sources

The Services may interact with third-party products, websites, models, search providers, identity providers and payment processors. Their terms and privacy practices apply to their services. Matilly is not responsible for third-party content or services, but this does not limit responsibility that cannot legally be excluded.

Source links and citations are provided for convenience and may be incomplete or incorrect. Review the underlying source before relying on a claim.

7. Matilly intellectual property

Matilly and its licensors own the Services, software, designs, documentation, trademarks and other materials excluding User Content. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Services for their intended purpose during the term of your account.

If you submit suggestions or feedback, you grant us a perpetual, worldwide, royalty-free right to use it without identifying you or imposing an obligation to compensate you. This does not transfer ownership of your private User Content.

8. Plans, billing and renewal

Paid plans, prices, currencies, taxes, usage limits and included features are shown before purchase. Payments are processed by Stripe or another identified provider; Matilly does not ordinarily receive your complete payment-card number.

Unless the checkout page says otherwise, subscriptions renew automatically at the end of each billing period until cancelled. You authorise recurring charges to your selected payment method. Cancel before the renewal date through the billing page to avoid the next charge. Cancellation takes effect at the end of the current paid period unless law requires otherwise.

Fees are non-refundable once a billing period begins, except where the checkout terms state otherwise or applicable law requires a refund. We may change future prices with advance notice. A price change applies no earlier than your next renewal after the stated notice period; you may cancel before it takes effect.

You are responsible for applicable taxes other than taxes on Matilly's net income. Failed or reversed payments may result in suspension or plan downgrade.

9. Suspension and termination

You may stop using the Services and close your account at any time. We may suspend or terminate access when reasonably necessary to address non-payment, security risk, unlawful activity, material or repeated breach, harm to others, or legal requirements. Where appropriate, we will give notice and an opportunity to remedy the issue.

Upon termination, your licence to use the Services ends. Sections that by nature should survive—including ownership, payment obligations, disclaimers, liability limits, indemnity and dispute terms—remain effective. Data is handled according to the Privacy Policy and applicable law.

10. Service availability and warranties

We aim to provide reliable Services but do not promise uninterrupted or error-free operation. To the maximum extent permitted by law, the Services and output are provided “as available” without implied warranties of accuracy, fitness for a particular purpose, merchantability, non-infringement or results.

Nothing in these Terms excludes statutory guarantees, warranties or consumer rights that cannot lawfully be excluded.

11. Liability

Nothing in these Terms limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, breach of non-excludable consumer rights, or any liability that applicable law does not allow us to limit.

Subject to that rule, neither party is liable for indirect, incidental, special, exemplary or consequential loss, or for lost profits, revenue, goodwill, opportunities or data, arising from the Services, even if advised that such loss was possible.

Subject to the same rule, Matilly's total aggregate liability arising out of the Services during any 12-month period will not exceed the greater of (a) the amount you paid Matilly for the Services during that period or (b) USD 100.

Some jurisdictions do not permit certain limitations, so these limits apply only to the extent lawful.

12. Indemnity for business misuse

If you use the Services for business purposes, you will defend and indemnify Matilly against third-party claims, damages and reasonable costs caused by your unlawful User Content, your infringement of third-party rights, or your material breach of these Terms. This obligation does not apply to the extent a claim was caused by Matilly. Consumer users are not subject to this section where prohibited by law.

13. Changes to these Terms

We may update these Terms to reflect changes in law, security, technology or the Services. We will post the revised date and provide additional notice for material changes where required. Changes will apply prospectively. If you do not accept a material change, you should stop using the Services and cancel before it takes effect.

14. Governing law and disputes

Before filing a claim, contact [email protected] and allow 30 days for an informal resolution, unless urgent relief is needed.

These Terms are governed by the laws of Singapore, without regard to conflict-of-law rules. The courts of Singapore have exclusive jurisdiction, except that consumers may bring claims in any forum available under mandatory local consumer law.

15. General provisions

These Terms, the Privacy Policy, Cookie Policy and any plan-specific terms form the entire agreement for the Services. If part of these Terms is unenforceable, it will be adjusted only as much as necessary and the remainder remains effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a merger, reorganisation, financing or sale of business, subject to applicable law.
